End User License Agreement

1. Acceptance

This End User License Agreement ("EULA") is a binding agreement between you and VirWare LLC ("VirWare", "we", "us", or "our") governing your use of the OptionClaws software, website, applications, data, and related services (together, "the Service"). This EULA is incorporated into and forms part of our Terms of Service. By creating an account or using the Service you accept this EULA; if you do not agree, do not use the Service. 2. License Grant

Subject to this EULA and the Terms of Service, VirWare grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own personal, non-commercial investment research while you maintain an account in good standing. The Service is licensed, not sold. All rights not expressly granted are reserved by VirWare and its licensors.

3. License Restrictions

You may not, and may not permit or assist anyone else to:

  • copy, modify, translate, or create derivative works of the Service or any part of it;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying models, or data structures of the Service, except to the extent such a restriction is prohibited by law;
  • scrape, crawl, harvest, or bulk-export data from the Service, or access it with bots, scripts, or other automated means beyond normal personal use through the interfaces we provide;
  • redistribute, republish, resell, sublicense, or otherwise make available market data, scan results, or any other output of the Service to third parties, whether for free or for a fee;
  • share, sell, rent, or transfer your account or access credentials, or use the Service to provide services to third parties;
  • circumvent, disable, or interfere with any paywall, free-trial restriction, rate limit, authentication mechanism, or other access or security control;
  • remove or obscure any proprietary notices in the Service.

4. User Conduct

You agree to use the Service lawfully and respectfully. You may not:

  • upload, submit, store, or transmit any content that is unlawful, infringing, defamatory, deceptive, obscene, or harmful, or that contains viruses, malware, or any other malicious code;
  • use the Service for any unlawful purpose, including market manipulation or any activity that violates securities laws;
  • impersonate any person or entity, or misrepresent your identity or affiliation;
  • create multiple, false, or throwaway accounts — including to obtain more than one free trial, to evade a suspension or termination, or to abuse promotional offers;
  • interfere with or disrupt the operation, integrity, or security of the Service, or attempt to probe, scan, or test its vulnerabilities without our written authorization;
  • harass, threaten, or abuse our staff or other users in any communication connected to the Service.

We may investigate suspected violations and may remove content, revoke trials, and suspend or terminate accounts as described in the Terms of Service.

5. Your Content

You retain ownership of the content you create in the Service, such as saved scans, watchlists, and settings ("Your Content"). You grant VirWare a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, display, and transmit Your Content as needed to operate, secure, and improve the Service. You represent that Your Content does not violate any law or third-party right.

6. Feedback

If you send us suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without restriction, attribution, or compensation.

7. Updates to the Service

We may update, modify, or discontinue the Service or any feature at any time. This EULA applies to all updates and new versions unless they are accompanied by separate terms.

8. Termination

This license ends automatically when your account is terminated, when you stop maintaining an account in good standing, or when you breach this EULA. VirWare may also revoke this license and suspend or terminate your access at any time as described in the Terms of Service. On termination you must stop using the Service; sections 3, 5, 6, and 9 survive.

9. Disclaimers and Incorporated Terms

The Service is provided "as is" — the disclaimers of warranties, the market-data and calculation disclaimers, the limitation of liability, the indemnification obligation, the dispute-resolution and arbitration provisions, and the governing-law clause in the Terms of Service apply to this EULA and are incorporated by reference. Nothing in the Service is financial advice, and any trade you make is at your own risk. If this EULA conflicts with the Terms of Service, the Terms of Service control.
